Notice of GBF Board of Directors Slate

Notice of GBF Annual Meeting 
(Being Belhaven donor party to follow)

November 19, 2024, 5:30-6:30

Fairview Inn 

The annual meeting of the Greater Belhaven Foundation is held during the fourth calendar quarter of each year and must be held in the Belhaven or Belhaven Heights neighborhood. 

 

The 2024 Annual Meeting of the Greater Belhaven Foundation will take place on November 19th at 5:30 PM at the Fairview Inn. The meeting will include a report on GBF’s activities during the fiscal year that ended September 30, 2024, including the status and use of CID funding, and the election of officers and new members of the GBF board of directors. There are 2 board member positions available for the 2024-2027 term. 

 

Qualifications for Board Members include:

 

  • Must be willing to serve a three-year term;

  • Must be an individual who is at least 21 years of age as of the date of the election;

  • Must be registered to vote, own land or a business, or be the authorized representative of a corporation that owns land or a business, in Greater Belhaven;

  • Must support GBF financially by donating a minimum of three hundred dollars ($300.00) annually, or by securing donations in at least that amount from other individuals or organizations; and

  • Must attend quarterly board meetings and quarterly committee meetings.

 

Nominations for new directors must be made in writing and must be received no later than November 5. Nominations may be submitted by emailing director@greaterbelhaven.com or by mailing or delivering a nomination to 954 E. Fortification Street, Jackson, MS 39202. Nominations must include a written statement from the nominee that he or she consents to be nominated and is willing to fulfill the responsibilities of being a director if elected, including meeting attendance and financial commitment.

 

The Nominating Committee will prepare a slate for election of officers and new Directors, which will be presented at the annual meeting. Each taxable parcel in Greater Belhaven is entitled to a single vote on the slate. The owner of a parcel leased to tenants may designate a tenant to vote on behalf of that parcel. For parcels owned by corporations or other business entities, an officer or other authorized person may cast the vote on behalf of the parcel. Please be prepared to present appropriate identification to vote. Proxy votes are not permitted.



Slate of Directors

At the meeting, attendance may vote on the slate. If the slate does not receive majority of votes, in the event that the slate of officers is not elected, the Nominating Committee shall request nominations from the floor in order to prepare an alternative slate. The alternative slate may include nominees who were nominated in the original slate, as well as others nominated from the floor, provided that those nominated from the floor consent to be nominated as above. Upon approval by the Board, the alternative slate of officers may be presented for a vote at the same meeting or may be presented at a later date and voted on at a meeting called for a later date and time, for which notice shall be provided and an election conducted in the manner outlined above. In the event that the alternative slate of officers is not elected, the available positions may be filled by the Board of Directors.
